# Representation deed

## Representation Deed

A Representation Deed is the legal instrument through which one or more project proponents appoint a focal, and identify authorized representatives, to act on their behalf in relation to a project under the ICR Program. It sets out who may act for the project in the ICR registry and which actions each party is authorized to perform.

The deed is executed by the project proponent(s) and the focal, the single party authorized to act for the project in the ICR registry. The focal may be one of the project proponents, a third-party representative appointed by them, or an organization to which the project proponents have assigned rights to the project's GHG emission mitigations. The deed records the parties and their authorized representatives, the evidence of ownership and proof of right, and an authority matrix of the registry actions each party may take, including any ICC-related actions such as issuance requests, transfers and retirements. It also sets out registry account and ICC delivery instructions and, where there is more than one project proponent, how responsibilities are shared between them.

Appointing a focal does not transfer ownership of the project, its GHG emission mitigations or any ICCs, and does not change who is the project proponent. The project proponent remains responsible for the project's conformity with ICR requirements and for the accuracy of the information submitted.

### When it is needed

* **At pre-registration,** where the project is submitted by a focal or an authorized representative rather than by the project proponent directly ([ICR Process Requirements v6.3](https://documentation.carbonregistry.com/documentation/icr-program/project-development/procedural/icr-process-requirements-v6.3), section 6.3).
* **When representation changes,** for example a new focal, a change in project proponents, or a change in authorized representatives. A new or updated deed is required, and ICR must be notified without delay.

The Representation Deed is submitted to the ICR registry as a private document, together with the KYC/KYB information and the evidence of ownership and proof of right. It evidences representation authority only. It does not by itself register the project, confirm ownership, authorize issuance or approve an Article 6.2 designation.
